CONTEST OFFICIAL RULES

NO PURCHASE IS NECESSARY TO ENTER OR WIN. A PURCHASE DOES NOT INCREASE THE CHANCES OF WINNING.

1. Sponsor: Scooter’s Coffee, LLC is the sponsor (“Sponsor”) of the Scooter's Coffee Pup Cup Influencer Contest (the “Contest”).
2. Eligibility: This Contest is open only to persons who are the age of majority in their state of residence as of the date of their participation and entry in this Contest. Notwithstanding the foregoing, Rhode Island residents and any employees, independent contractors, interns, officers, directors, and agents of Sponsor or any of Sponsor’s affiliates, subsidiaries, advertising and promotion agencies, and suppliers (and any family or household members of such individuals) are not eligible to participate in this Contest. Each individual who is eligible to participate in this Contest shall be referred to in these Official Rules as a “Participant”. This Contest is subject to all applicable laws and regulations, and is void where prohibited.
3. Agreement to Rules: By entering this Contest, Participant  agrees to comply with and abide by these Official Rules and the decisions of Sponsor, and represents and warrants that Participant meets the eligibility requirements. In addition, Participant agrees to accept Sponsor's decisions as final and binding as it relates to the content of this Contest and these Official Rules.
4. HOW TO ENTER / Entry Period:
   1. A Participant may enter this Contest by timely completing all of the following actions:
      1. LIKE Scooter’s Coffee’s Facebook or Instagram post announcing the Contest on August 25, 2023, and TAG three (3) friends;
      2. VISIT a Scooter’s Coffee location during its operating hours on August 26, 2023 and take a photo of Participant’s dog enjoying a free Pumpkin Spice Pup Cup; and
      3. Between August 26, 2023 and August 27, 2023:
         1. UPLOAD the photo to Participant’s Facebook or Instagram account with the hashtag #ScootersPupCup, and tag @ScootersCoffee; and
         2. LIKE AND FOLLOW @ScootersCoffee on Facebook OR FOLLOW @ScootersCoffee on Instagram.
   2. Participants who upload photos before August 26, 2023 or fail to complete all of the above actions before 11:59 p.m. CDT on August 27, 2023 will not be eligible for entry in this Contest.
   3. The entry must fulfill all requirements of this Contest, as specified in these Official Rules, to be eligible to win a prize (as described below). Entries that are incomplete or do not comply with these Official Rules may be disqualified at the sole discretion of Sponsor. Participant must provide the information requested. Participant may not enter this Contest more than one time per method described above by using multiple email addresses, identities, or devices in an attempt to circumvent these Official Rules. If Participant uses fraudulent methods or otherwise attempts to circumvent these Official Rules, Participant’s submission may be disqualified at the sole discretion of Sponsor.
5. WINNER DETERMINATION: On August 28, 2023, Sponsor will select six (6) eligible entries using the following criteria: 
   1. the dog’s photogenic nature;
   2. the quality of the photo; and
   3. that “special something”.
   4. All judging decisions by Sponsor are final. 
6. Sponsor will post the six (6) eligible entries that it selects (each a “Finalist”) at https://woobox.com/iznjip/gallery?web=1by 12:00 p.m. CDT on August 28, 2023.  Between 12:00 p.m. CDT on August 28, 2023 and 11:59 p.m. CDT on August 29, 2023 (the “Voting Period”), members of the public may vote once per day of the Voting Period for their favorite Finalist.  The owner of the dog that receives the most votes at the conclusion of the Voting Period (the “Grand Prize Winner”) will: receive free coffee for one year (distributed as a one-time $1,800 credit through the Scooter’s Coffee mobile app (available for download at https://www.scooterscoffee.com/mobileapp), good for one year (unless applicable law requires a longer period of time, in which case a longer period of time shall apply)); have the Grand Prize Winner’s dog featured on a Scooter’s Coffee billboard; and receive a doggy bag (described below) (such credit, billboard appearance, and doggy bag, collectively, the “Grand Prize”, whose maximum total retail value is approximately $3,600.  The remaining five Finalists (each, a “Runner Up Prize Winner”) will receive a $20 credit through the Scooter’s Coffee mobile app and a doggy bag that includes a Scooter’s Coffee dog toy, dry shampoo for dogs, coffee scented poo bags, dog selfie phone clip on, and pumpkin dog treats (such credit and doggy bag, collectively, the “Runner Up Prize”, whose maximum total retail value is approximately $100).
   
   Each prize consists of only the items specifically listed as part of the prize.  No cash equivalent or other prize substitution will be permitted except at Sponsor's sole discretion.  Sponsor reserves the right to substitute a prize of equal or greater value.  Each prize will be awarded and is non-transferable by any winner.  If a potential winner is disqualified for any reason, Sponsor may award the applicable prize to an alternative winner it selects from among all remaining eligible entries using the above judging criteria.  Any and all prize related expenses, including without limitation any and all federal, state, and/or local taxes, shall be the sole responsibility of each winner.  Acceptance of a prize constitutes permission for Sponsor to use the winner’s name, likeness, and entry for purposes of advertising and trade without further compensation, unless prohibited by law.
7. Winner Notification:  Sponsor will notify each potential Grand Prize Winner and each potential Runner Up Prize Winner via a DM (direct message) on or about August 30, 2023 from the main, verified @scooterscoffee Facebook or Instagram account only.  To claim any awarded prize, a potential winner must respond to the DM with the potential winner’s full name, email address, and mailing address. Each potential winner also may be required to sign and return a completed affidavit of eligibility and release(s) via fax or email within 48 hours of prize notification, with the original documents sent to Sponsor via regular mail within seven (7) days of the date of prize notification.  Non-compliance with these Official Rules, the inability of Sponsor to timely contact a potential winner, a potential winner’s failure to properly claim any awarded prize within 10 business days from the time Sponsor sent the award notification, or a prize’s or prize notification’s return as undeliverable will result in such potential winner’s disqualification and, at Sponsor’s discretion, Sponsor may award the applicable prize to a potential alternative winner.  Receipt of each prize offered in this Contest is conditioned upon compliance with these Official Rules and all applicable federal, state, and local laws and regulations.  
8. Rights Granted by the Entrant: By entering this Contest and submitting any content (e.g., photo, video, text, etc.), Participant understands and agrees that Sponsor and anyone or entity acting on behalf of Sponsor or its affiliates or its or their respective licensees, successors, and assigns, shall have the right, where permitted by law, to print, publish, broadcast, distribute, and use in any media now known or hereafter developed, in perpetuity and throughout the world, without limitation, Participant’s entry, name, portrait, picture, voice, likeness, image, statements about this Contest and/or Scotter’s Coffee, and biographical information for news, publicity, information, trade, advertising, public relations, and promotional purposes without any further compensation, notice, review, or consent. By entering this Contest, Participant represents and warrants that Participant’s entry is an original work of authorship, and does not violate any third party’s proprietary or intellectual property rights. If Participant’s entry infringes or is alleged to infringe upon the intellectual property right of another, Participant’s entry will be disqualified at the sole discretion of Sponsor. If the content of Participant’s entry is claimed to constitute infringement of any proprietary or intellectual proprietary rights of any third party, Participant shall, at Participant’s sole expense, defend or settle against such claims. Participant shall indemnify, defend, and hold harmless Sponsor and Sponsor’s affiliates from and against any suit, proceeding, claims, liability, loss, damage, costs or expense, which Sponsor and Sponsor’s affiliates may incur, suffer, or be required to pay arising out of such infringement or suspected infringement of any third party’s right.  By entering this Contest, Participant also agrees to be interviewed and photographed by Sponsor if Participant is selected as the Grand Prize Winner or Runner Up Prize Winner of this Contest and Participant accepts such Grand Prize or Runner Up Prize, as applicable, and that Sponsor may announce on scooterscoffee.com and related websites owned and operated by Sponsor Participant’s full name, photo, likeness, and statements and publish a post with such items to all social media accounts including Facebook, Instagram, Twitter, and any other social media platforms, and any other forms of media.
9. Terms and Conditions: Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify or suspend this Contest should a virus, bug, non-authorized human intervention, fraud, or other cause beyond Sponsor’s control corrupt or affect the administration, security, fairness, or proper conduct of this Contest. In such cases, Sponsor may select Finalists from eligible entries received as of the date of such action taken by Sponsor. Sponsor reserves the right at its sole discretion to disqualify any Participant who tampers or attempts to tamper with the entry process, the operation of this Contest, or any website or violates these Official Rules. Sponsor has the right, in its sole discretion, to maintain the integrity of this Contest and to void entries for any reason, including, but not limited to: multiple entries from the same user from different IP addresses or multiple entries from the same computer in excess of that allowed by the Official Rules; or the use of bots, macros, scripts, or other technical means for entering. Any attempt by an entrant to deliberately damage any website or undermine the legitimate operation of this Contest may be a violation of criminal and civil laws. Should such an attempt be made, Sponsor reserves the right to seek damages to the fullest extent permitted by law.
10. Limitation of Liability: By entering this Contest, Participant agrees to waive all right to, and to release and hold harmless Sponsor and its affiliates, and its and their respective advertising and promotion agencies, partners, representatives, agents, successors, assigns, employees, officers and directors, from any liability, illness, injury, death, loss, litigation, claim,  or damage that may arise out of or in connection with participation in this Contest or the acceptance, possession, use, or misuse of any prize or any portion thereof, whether caused by negligence or not.  In no event will Sponsor and its affiliates, and its and their respective advertising and promotion agencies, partners, representatives, agents, successors, assigns, employees, officers and directors, be responsible for: (i) lost, late, incomplete, or incorrect entries; (ii) a Participant's failure to receive prize notices due to the Participant’s spam, junk e-mail, or other security settings or the Participant’s provision of incorrect or otherwise non-functioning contact information; (iii) unauthorized human intervention in any part of this Contest; (iv) electronic or human error which may occur in the administration of this Contest or the processing of entries in this Contest; (v) technical, hardware, or software errors or malfunctions of any kind, including but not limited to the malfunction of any computer, cable, network, hardware, or software, or other mechanical equipment, lost or unavailable network connections, or failed, incorrect, inaccurate, incomplete, garbled, or delayed electronic communications whether caused by the sender or by any of the equipment or programming associated with or used in this Contest; (vi) the unavailability or inaccessibility of any transmissions, telephone, or Internet service; (vii) any typographical, technological, printing, or other error in the offer or administration of this Contest or announcement of its prizes; or (viii) any lost, late, misdirected, or undeliverable entry.  
11. Choice of Law and Forum: Participant agrees that all matters arising out of or relating to this Contest and these Official Rules are governed by, and construed in accordance with, the laws of the state of Nebraska, without giving effect to any of its conflict of laws principles. Participant further agrees that any and all disputes that cannot be resolved between the parties, and any and all causes of action arising out of or connected with this Contest and these Official Rules, shall be resolved individually, without resort to any form of class action, and exclusively before any applicable federal or state court located in Omaha, Douglas County, Nebraska. Further, in any such dispute, under no circumstances shall Participant be permitted to obtain awards for, and Participant hereby waives all rights to, punitive, incidental, or consequential damages, including without limitation attorney’s fees, other than actual out-of-pocket expenses, to the extent permitted by law. Participant further waives all rights to have damages multiplied or increased.
12. Winner List: To request a copy of the Grand Prize Winner and Runner Up Prize Winners, available after August 30, 2023, please email [email protected].  Requests must be sent by September 30, 2023.
13. No Sponsorship/Endorsement: This Contest is in no way sponsored, endorsed, or administered by or associated with Facebook, Instagram, or any other social networks that are used to share this Contest, and Participant completely releases Facebook, Instagram, and any such other social networks from any and all claims related to or arising from this Contest. Participant understands that Participant is providing Participant’s information to Sponsor and not to Facebook, Instagram, or any other social network.
14. Acceptance of Rules: By participating in this Contest, Participant acknowledges and agrees that Participant has affirmatively reviewed, accepted, and agreed to all of the Official Rules.
